House Bill 1616 passed the House unanimously on May 2. Rep. Denlinger's bill amends Title 15 (Corporations and Unincorporated Associations) by creating a benefit corporation class and redefining the fiduciary duty of the directors of those corporations allowing them to take non-financial interests into consideration when making decisions for the corporation. Under H.B. 1616, a benefit corporation is able to operate in a manner that produces benefits for society. The directors still must consider the interests of the shareholders, but the directors are also required to consider the interests of society. The directors are required to balance those interests. The PBA supports this bill.

H.B. 2285 also passed the House unanimously on May 2. Rep. Delozier's bill increases the maximum amount (from $25,000 to $50,000) that a personal representative of an estate or a trustee can transfer into a custodial account (established under the Uniform Transfer to Minors Act [UTMA]) for the benefit of a minor without having to obtain court authorization for the transfer. The PBA supports this bill.
